Terms of Service

1. Acceptance of Terms

By accessing or using the Easy Ice Client Portal (the "Portal"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Portal. These Terms apply to all users who access the Portal on behalf of a business that has an active service agreement with Easy Ice, LLC ("Easy Ice," "we," or "us").

2. Eligibility

Access to the Portal is limited to authorized representatives of Easy Ice customers. You must have a valid email address associated with an Easy Ice account in our system. You are responsible for maintaining the confidentiality of your authentication credentials and for all activity that occurs under your account.

3. Permitted Use

You may use the Portal solely to:

• View account and billing information associated with your Easy Ice service locations.
• Add, update, or manage payment methods (credit card or ACH) for your account.
• Authorize automatic payment processing for invoices issued by Easy Ice.
• Submit feedback or bug reports.

You may not use the Portal for any unlawful purpose, attempt to access accounts that are not associated with your authorized credentials, or attempt to reverse-engineer, scrape, or interfere with the Portal's systems.

4. Payment Authorization

By adding a payment method through the Portal, you authorize Easy Ice to charge that method for invoices generated under your service agreement. You represent that you are authorized to use any payment method you add. Easy Ice uses PCI-DSS-compliant third-party processors (ChargEnt / NMI) to handle payment credentials. We do not store raw card numbers or banking account numbers on our servers.

5. Service Availability

We strive to keep the Portal available at all times but do not guarantee uninterrupted access. We reserve the right to perform maintenance, apply updates, or suspend the Portal at any time without notice. Easy Ice is not liable for any losses resulting from Portal downtime or unavailability.

6. Intellectual Property

All content, trademarks, and technology associated with the Portal are owned by or licensed to Easy Ice. Nothing in these Terms grants you any rights to the Easy Ice name, logo, or any Portal software.

7. Disclaimers

THE PORTAL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. EASY ICE DOES NOT WARRANT THAT THE PORTAL WILL BE ERROR-FREE OR THAT DEFECTS WILL BE CORRECTED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EASY ICE'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PORTAL SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100). IN NO EVENT SHALL EASY ICE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

9. Governing Law and Disputes

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles. Any dispute arising out of these Terms shall be resolved by binding arbitration in Maricopa County, Arizona, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

10. Changes to These Terms

We may update these Terms at any time. We will post the revised Terms with an updated effective date. Your continued use of the Portal after the revised Terms are posted constitutes your acceptance of the changes.
